These Terms of Service ("Terms") govern your access to and use of HavenIQ's website at haveniq.org, mobile applications, and related services (collectively, the "Service"), operated by HavenIQ LLC, a California limited liability company ("HavenIQ," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

To use HavenIQ, you must:

• Be at least 18 years of age.
• Be a currently enrolled college or university student with a valid .edu email address (or equivalent institutional email).
• Have the legal capacity to enter into a binding contract.
• Not be barred from using the Service under applicable law.

HavenIQ may require additional verification of your student status at any time.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to update it as needed. You agree not to create an account on behalf of another person or allow another person to use your account.

3. Acceptable Use

When using HavenIQ, you agree NOT to:

• Impersonate another person, misrepresent your identity, or create fake profiles.
• Harass, threaten, intimidate, or discriminate against other users.
• Post or send content that is unlawful, defamatory, obscene, or infringes the rights of others.
• Use the Service for commercial solicitation, spam, or unauthorized advertising.
• Attempt to gain unauthorized access to other users' accounts or to HavenIQ systems.
• Scrape, reverse engineer, or automate access to the Service without our permission.
• Use the Service in connection with any illegal activity or fraud.

Violations may result in suspension or termination of your account and may be reported to your university and/or law enforcement.

4. User Content

You retain ownership of the content you submit to HavenIQ (profile photos, messages, quiz answers, etc.). By submitting content, you grant HavenIQ a non-exclusive, worldwide, royalty-free license to use, display, and process your content solely to operate and improve the Service. We will not sell or license your content to third parties.

5. Compatibility Matching Disclaimer

HavenIQ's compatibility scores are based on our proprietary algorithms and the information you provide. These scores are a tool to help you make informed decisions — they are not a guarantee of a successful roommate relationship. You remain solely responsible for choosing who you live with and for any decisions arising from those choices. Always meet potential roommates in person and exercise appropriate caution before committing to a living arrangement.

6. Paid Services

Certain features of HavenIQ may require a paid subscription. By subscribing, you authorize us to charge the payment method on file on a recurring basis until you cancel. Subscriptions renew automatically unless cancelled prior to the renewal date. Refunds are handled in accordance with the payment platform (e.g., Apple App Store, Google Play Store). All fees are non-refundable except as expressly stated.

7. Third-Party Services

The Service may integrate with third-party services (payment processors, identity verification, AI providers). Your use of those services is subject to the third party's terms and policies. HavenIQ is not responsible for third-party services or content.

8. Intellectual Property

The Service, including all content, software, designs, logos, and trademarks (other than user content), is the exclusive property of HavenIQ LLC and is protected by copyright, trademark, and other laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

9. Termination

You may terminate your account at any time through Settings. We may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. HavenIQ does not guarantee that the Service will be uninterrupted, secure, or error-free, or that matches will result in successful roommate relationships.

11. Limitation of Liability

To the fullest extent permitted by law, HavenIQ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising from the Service shall not exceed the greater of $100 USD or the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold HavenIQ harmless from any claim, damage, or expense (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after a change constitutes acceptance of the revised Terms.
